Terms of service

Effective November 6, 2026. These terms are under review by counsel; a revised version will carry a new date.

These terms are an agreement between LUPASA, LLC ("LUPASA", "we", "us"), the owner and operator of Truman Planner and of trumanplanner.com, and the organization or person that creates an account ("you", "the customer"). By creating an account or using the service you accept them. If you accept on behalf of an organization, you confirm you have authority to bind it.

1. The service

Truman Planner ("the service") is software for the administration and accounting of trusts, estates and related entities: their structure, assets, governing instruments, people, transactions, decisions and reports.

The service is not legal advice, tax advice, a substitute for fiduciary judgment, or a tax return preparer. Figures it produces are estimates with lineage back to the events and rules that produced them. Rule packs encode defaults with citations, not conclusions, and are to be reviewed by qualified counsel for the trust's situs before being relied upon. Every decision recorded in the service is yours and your professionals'. Where a model proposes a classification or explains a result, it is a proposal; nothing is posted or decided without a person with authority accepting it.

Estate planning, drafting and legal services are not part of the service. Where LUPASA refers you to a law firm for such services, that firm is engaged by you separately, under its own terms, and LUPASA is not a party to that engagement.

2. Accounts and organizations

The person who creates an organization owns it and is responsible for who they invite, what roles they grant, and what those people do. You are responsible for keeping credentials confidential, for activity under your accounts, and for telling us promptly of any unauthorised use. You must provide accurate account and billing information and keep it current. The service is for organizations and professionals; it is not directed to anyone under 18.

3. Subscriptions, trials and payment

The service is billed per entity administered, per month, in the bands shown on the pricing page, through Stripe. A new organization begins with a free trial of the length shown at signup, with no payment method required. If no payment method is on file when the trial ends, the subscription ends and the organization enters read-only standing (section 5).

The quantity on your subscription follows the number of entities in your organization, prorated by Stripe when it changes. Fees are charged in advance for each monthly period. Prices may change with at least 30 days' notice; a change takes effect at your next monthly period after the notice.

You may cancel at any time from your billing page. Cancellation takes effect at the end of the paid period. Fees are non-refundable except where the law requires otherwise or we say so in writing. Taxes, where applicable, are added to the fees. If a payment fails, Stripe retries; while it does, the service continues, and if payment is not made the subscription ends.

4. Your data

Everything your organization enters or uploads ("customer data") belongs to you. You grant LUPASA the right to host, process, transmit and display customer data only as needed to provide, secure and support the service and as you direct. We do not sell customer data, use it for advertising, or use it to train models.

Administrators of your organization may read and export customer data at any time, whether or not the subscription is active. On closure of an organization we make its data available for export for at least 60 days before deletion, except where law or a legal hold requires longer retention.

You are responsible for the accuracy and lawfulness of customer data, for having the authority to administer the entities you enter, and for the people you give access to it. Our handling of personal information is described in the privacy policy.

5. Standing

When an organization's subscription is not active, the organization is in read-only standing: its people can open and export everything it holds and cannot record anything new until a subscription is active. We never delete customer data for non-payment while the account exists.

6. Acceptable use

You will use the service lawfully and only for entities you are authorised to administer. You will not: attempt to access another organization's data; interfere with or probe the service except through our disclosure process; circumvent usage limits or access controls; upload malicious code; resell or offer the service to third parties as a bureau; or use the service to make decisions that the law reserves to a licensed professional without that professional.

7. Confidentiality

Customer data is your confidential information. We access it only to operate, secure and support the service, at your request, or as the law requires, and our staff are bound to keep it confidential. Information about the service that is not public (pricing proposals, roadmaps, security details we share with you) is our confidential information.

8. Third-party services

The service relies on providers listed on the subprocessors page, including Stripe for payment and Cloudflare for network security. Their services are governed by their own terms where you interact with them directly, such as Stripe's hosted payment pages.

9. AI features

Where your organization enables them, model-assisted features send the data needed for the task (for example, staged transaction lines and your chart of accounts) to a model provider listed on the subprocessors page, under terms that prohibit the provider from training on it. Outputs are proposals carrying the model's name and reasoning. You are responsible for reviewing them before acting; the service does not act on them itself.

10. Intellectual property

The service, its software, design, documentation and marks are owned by LUPASA, LLC or its licensors and are licensed, not sold. You receive a non-exclusive, non-transferable right to use the service for your organization during the subscription. Suggestions you give us may be used without obligation. You may not copy, modify, reverse engineer or build a competing product from the service.

11. Availability and support

We work to keep the service available at all times and to give notice of planned maintenance. Support is by email at the addresses on the contact page during US business hours. We may suspend an account that threatens the security or integrity of the service, giving notice where practicable.

12. Disclaimer of warranties

To the extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any figure, classification or rule outcome is correct for your circumstances; those are for you and your professionals to verify.

13. Limitation of liability

To the extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however caused; and (b) LUPASA's total liability arising out of or relating to the service is limited to the fees you paid in the twelve months before the event giving rise to the claim. These limits do not apply to a party's breach of confidentiality, to your payment obligations, to either party's indemnity obligations, or to liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify LUPASA against third-party claims arising from customer data, from your use of the service in breach of these terms, or from your administration of the entities you enter. LUPASA will defend and indemnify you against third-party claims that the service, used as permitted, infringes a US patent, copyright or trademark, except to the extent the claim arises from customer data or your modifications.

15. Term and termination

These terms apply while you have an account. You may close your organization at any time. We may terminate for material breach not cured within 30 days of notice, or immediately for breach of section 6. On termination, section 4 governs your data; sections 4, 7, 10, 12, 13, 14, 16 and 17 survive.

16. Governing law and disputes

These terms are governed by the laws of [the State of LUPASA, LLC's formation] and applicable US federal law, without regard to conflict-of-laws rules. The parties will first try in good faith to resolve any dispute by discussion between representatives with authority to settle. Any dispute not so resolved will be brought in the state or federal courts located in [county and State], and each party consents to their jurisdiction, except that either party may seek injunctive relief anywhere to protect its confidential information or intellectual property.

17. General

These terms, the privacy policy and any order or addendum we both sign are the whole agreement and replace prior discussions. If a provision is unenforceable, the rest stands. Neither party may assign these terms without consent, except to a successor in a merger or sale of substantially all assets. Notices to us go to the addresses on the contact page; notices to you go to your organization's owner by email. Neither party is liable for delay caused by events beyond its reasonable control.

18. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email to your organization's owner or by notice in the service. Continued use after the effective date of a change is acceptance of it. The current version is always at trumanplanner.com/terms.
